Effective date1 October 2026Last updated1 October 2026

Welcome to DIHZINE Studio, an AI-powered packaging design and printing platform powered by Ekennis Software Service Limited (“Ekennis”, “we”, “us” or “our”) and associated with the DIHZINE brand.

These Terms & Conditions govern your access to and use of our website, applications, AI-powered design tools, artwork services, digital downloads, packaging products, printing services and related features (collectively, the “Services”).

By accessing the Platform, creating an account, uploading content, generating or editing designs, placing an order, or making a payment, you acknowledge that you have read and understood these Terms and agree to be bound by them, to the extent permitted by applicable law.

If you do not agree with these Terms, please do not use the Services.

1

Company Information and Contracting Entity

DIHZINE Studio is a digital platform powered by Ekennis Software Service Limited.

Unless a specific order, invoice or separate written agreement identifies another contracting entity, the Services are provided by:

Legal Name: Ekennis Software Service Limited

Brand: DIHZINE

Platform: DIHZINE Studio

Registered Office: 4th Floor, Neeladri Road, Electronic City Phase 1, Bangalore, India – 560100

Website: https://www.dihzine.com

Customer Support Email: info@dihzine.com

These Terms apply to the use of the Platform and related Services, subject to any separate written agreement applicable to a particular order.

2

Eligibility and Business Authority

You must be legally capable of entering into a binding agreement under the laws applicable to you.

If you use the Platform on behalf of a company, partnership, brand or other organisation, you represent that you are authorised to accept these Terms on its behalf.

You are responsible for ensuring that your use of the Services complies with applicable laws in your country, including laws concerning intellectual property, advertising, product labelling, food safety, consumer protection, data protection, import and export, and electronic transactions.

We may restrict access where reasonably necessary to address suspected fraud, unlawful use, security risks or breaches of these Terms, subject to applicable law.

3

Description of Services

DIHZINE Studio may provide some or all of the following features, depending on availability:

  • AI-assisted packaging design generation.
  • Front and back packaging design concepts.
  • Uploading and positioning logos, product images and other assets.
  • Editing text, colours, backgrounds, fonts and design elements.
  • Saving, revising and restoring design versions.
  • Downloading design previews and proof documents.
  • Purchasing design services.
  • Ordering printed packaging products.
  • Accessing order status, payment history and customer support.

Features, materials, sizes, finishes, quantities, prices and delivery options may vary by product and location.

We may improve, modify, suspend or discontinue a feature where reasonably necessary for maintenance, security, legal compliance or business operations. Where a change materially affects an existing paid order, we will address the impact in accordance with the order terms and applicable law.

4

AI-Generated Designs: Important Limitations

The Platform uses artificial intelligence and automated tools to assist with packaging design.

You acknowledge and agree that:

  • AI-generated results are probabilistic and may contain visual, factual, linguistic or technical errors.
  • Designs may resemble existing designs or other AI-generated outputs.
  • AI-generated concepts may not be unique, exclusive or eligible for copyright protection in every jurisdiction.
  • AI may incorrectly render text, numbers, logos, symbols, ingredient names, nutrition information, addresses, barcodes or regulatory declarations.
  • AI-generated artwork may require manual editing, correction and production review.
  • A visual preview does not establish that artwork is legally compliant, technically printable or suitable for a particular product.

You must review and approve all design elements before authorising printing. Do not rely on AI alone to verify product information, legal compliance, intellectual property ownership or print suitability.

We do not guarantee that any AI-generated design will be registrable as a trademark, eligible for copyright protection, exclusive to you, or free from third-party intellectual property claims.

5

Customer Responsibility for Packaging Information

You are responsible for the accuracy, completeness and legal suitability of the information supplied for your product, subject to any non-excludable duties imposed on us by law.

This includes, where applicable:

  • Brand name and product name.
  • Ingredients, allergens and allergen declarations.
  • Net quantity and measurement units.
  • Nutrition information and serving sizes.
  • Manufacturing, packing and marketing details.
  • Manufacturer, importer and marketer names and addresses.
  • FSSAI licence or registration details.
  • Batch, lot, date, shelf-life and best-before declarations.
  • MRP, unit sale price, country of origin and consumer-care details.
  • Product claims, certifications, warnings and usage instructions.
  • GTIN, EAN, UPC and other barcode information.
  • Recycling, disposal and material declarations.

You must verify that all mandatory declarations are correct and current before approving the artwork.

We are not a regulatory authority, food-testing laboratory, legal adviser or certification body merely because the Platform provides design or packaging services. Unless expressly agreed in writing, we do not certify the legal compliance of your product, packaging or claims.

Where we separately provide professional compliance assistance, the scope and limitations of that service will be governed by the relevant service description or agreement.

6

Intellectual Property and Customer-Uploaded Content

6.1 Your Content

You retain the rights you lawfully own in your original logos, photographs, brand assets, text and other materials uploaded to the Platform.

You grant Ekennis and its authorised service providers a limited, non-exclusive licence to host, reproduce, process, modify as technically necessary, display and use your content solely to provide the Services, generate and edit designs, fulfil orders, provide support, maintain security and comply with legal obligations.

This licence lasts for as long as reasonably necessary for those purposes, subject to applicable law, your account settings and our Privacy Policy.

We will not treat your unpublished designs or uploaded brand assets as permission to publish them in our marketing materials. Separate permission will be obtained where required.

6.2 Your Authority to Upload Content

You represent that you own or have obtained all permissions necessary to upload and use the content you provide.

You must not upload or request use of content that infringes copyright, trademarks, design rights, privacy rights, publicity rights or other rights of any person.

You must not upload confidential or personal information belonging to another person unless you have lawful authority to do so.

6.3 Platform Intellectual Property

The Platform's software, code, user interface, branding, templates, design tools, documentation, original platform content and other materials owned or licensed by Ekennis remain the property of their respective rights holders.

Except for the limited right to use the Services under these Terms, no ownership or intellectual property rights in the Platform are transferred to you.

You may not copy, reverse engineer, resell, distribute, exploit or create competing derivative services from the Platform, except to the extent such restrictions are prohibited by applicable law or you have our written permission.

6.4 Completed Designs and Ownership

Ownership and usage rights for completed designs depend on the origin of the content, applicable intellectual property law, third-party licences and the relevant design-service agreement.

Subject to full payment and applicable third-party licence restrictions, we intend to permit you to use the final approved design for your own business and packaging purposes.

However, we do not guarantee exclusive ownership of AI-generated elements or the ability to prevent third parties from creating or using similar designs.

Platform templates, stock assets, fonts, icons, third-party artwork and other licensed elements remain subject to their applicable licence terms. They may not be independently resold or redistributed where the relevant licence prohibits such use.

Where a separate written agreement specifies ownership or licensing terms for custom artwork, that agreement will govern to the extent of any conflict, subject to applicable law.

7

Prohibited Uses

You agree not to use the Platform to:

  • Create or distribute unlawful, deceptive, fraudulent or misleading content.
  • Infringe another person's intellectual property or other legal rights.
  • Produce counterfeit packaging or facilitate the sale of counterfeit goods.
  • Make unsupported medical, nutritional, environmental or certification claims.
  • Misrepresent product approvals, certifications, licences or test results.
  • Upload malicious software or attempt to compromise Platform security.
  • Circumvent access controls, payment controls or usage restrictions.
  • Scrape, reverse engineer or systematically extract Platform data without permission.
  • Interfere with another customer's account or designs.
  • Use the Services in violation of applicable sanctions, export controls or other applicable laws.

We may remove prohibited content, restrict access, suspend an order or terminate an account where reasonably justified, subject to applicable law and any applicable refund obligations.

8

Design Service Fees and Payments

Design fees, applicable taxes, printing charges and other charges will be displayed before you confirm a purchase.

Unless expressly stated otherwise:

  • Design fees cover the stated design service and not printing.
  • Printing charges are calculated according to the selected size, quantity, construction, finish and production option.
  • Taxes will be applied according to applicable law.
  • Shipping, freight, customs duties, import taxes and other destination charges may be additional.
  • A displayed estimate is not a final payable amount unless all applicable charges have been calculated and disclosed.

Any introductory offer, discount, subscription or promotional pricing will be governed by its stated conditions.

Payments may be processed through third-party payment gateways. We do not store complete payment-card credentials unless a payment service explicitly supports and authorises such storage. Payment processing is also subject to the payment provider's terms.

An order may remain pending until payment is confirmed. We may request verification or cancel a suspected fraudulent transaction, subject to applicable law.

We will not knowingly charge a design fee again for the same previously paid design solely because you later order printing of that design, provided the design is identifiable in your account, the relevant fee was paid in full and no new design service is requested. Any exceptions must be disclosed before purchase.

9

Printing Orders and Artwork Approval

Printing is carried out according to the specifications shown at checkout or otherwise confirmed in writing.

Before approving an order, you must check:

  • Design layout and dimensions.
  • Front and back artwork.
  • Spelling, grammar, numbers and product declarations.
  • Colours, images, logos and placement.
  • Barcode placement and scannability requirements.
  • Material, finish, window and packaging construction.
  • Quantity, unit pricing, taxes and shipping charges.
  • Delivery address and contact information.

Your final approval is the reference point for production. Changes requested after approval may require additional charges, revised timelines or a new order.

Where technically appropriate, we may conduct production preflight checks. Such checks do not replace your responsibility to verify the commercial and regulatory accuracy of your artwork.

We may decline to print content that is unlawful, infringing, technically unsuitable or inconsistent with our production capabilities.

10

Printing Variations, Tolerances and Defects

Printed packaging is produced using physical materials and manufacturing processes. Reasonable variations may occur in colour, finish, dimensions, material behaviour, cutting, sealing and appearance.

Screen colours may differ from printed colours due to display settings, colour profiles, substrates, inks and production methods. A digital preview is not an exact guarantee of the final printed colour.

Minor variations within disclosed or reasonable production tolerances will not automatically constitute a defect.

However, this clause does not exclude remedies for material defects, substantial deviations from the approved specifications, damaged goods, incorrect quantities or other failures for which we are responsible under applicable law.

If you believe an order contains a defect or production error, contact us promptly with your order number, photographs, a description of the issue and any requested supporting evidence.

Where we determine, or are legally required to recognise, that an issue is attributable to our production or fulfilment, the remedy may include correction, replacement, reprinting, refund or another legally available remedy, depending on the circumstances and applicable law.

We will not deny a valid claim solely because the product is customised.

11

Customised Products, Cancellation and Refunds

Design services and printed packaging may involve work or production specifically requested for you.

Once a design service has been substantially performed, or customised printing has begun, cancellation may be restricted to the extent permitted by applicable law. This does not remove any mandatory cancellation, refund or consumer rights that apply to your transaction.

Before production begins, you may request cancellation. We will assess the request based on the work completed, costs incurred, order status and applicable law.

Refund eligibility may depend on:

  • Whether a payment was duplicated or incorrectly collected.
  • Whether the Service was delivered as agreed.
  • Whether the design or printing is defective.
  • Whether the order was cancelled before production.
  • Whether we are unable to fulfil the order.
  • Any statutory consumer rights applicable to the transaction.

Where a refund is approved, it will generally be returned through the original payment method where feasible. Processing times may depend on the payment provider or bank.

We will not use a blanket “no refunds under any circumstances” policy to override applicable legal rights.

Customisation alone does not entitle us to reject a legitimate claim for defective or incorrectly supplied goods.

12

Dispatch, Delivery and International Orders

Any delivery or dispatch date shown on the Platform is an estimate unless expressly guaranteed in writing.

Dispatch time and transit time are different. An estimated dispatch period does not guarantee delivery by a particular date.

Delays may arise from production capacity, raw-material availability, courier operations, customs inspections, weather, strikes, public emergencies, regulatory restrictions or other circumstances outside reasonable control.

We will make reasonable efforts to communicate material delays and provide revised estimates where available.

Customers are responsible for supplying an accurate delivery address and contact details. Additional charges may apply for address corrections, re-delivery, storage, customs clearance or other services where permitted and disclosed.

International customers are responsible for determining whether the product and packaging can lawfully be imported, marketed and used in the destination country, and for paying applicable customs duties, import taxes and other destination charges unless the order expressly states otherwise.

Nothing in this section transfers responsibility for a loss or delay where applicable law or the agreed shipping terms place that responsibility on us.

13

Food Safety, Regulatory Compliance and Product Claims

Packaging design does not by itself establish that a food product, cosmetic, supplement or other packaged product is legally compliant or safe.

You are responsible for obtaining the licences, registrations, testing, approvals, declarations and professional advice required for your product and target market, except for any specific service obligation expressly accepted by us in writing.

You must not assume that a packaging material is suitable for direct food contact, a particular temperature, freezing, heating, microwave use, extended storage or a particular product unless its suitability has been confirmed for that intended use.

Material specifications and food-contact documentation should be confirmed for the particular order where relevant.

You are also responsible for ensuring that all product claims, including “organic”, “natural”, “healthy”, “sugar-free”, “non-toxic”, “biodegradable”, “compostable” and “recyclable”, are truthful, substantiated and permitted in the destination market.

We do not guarantee that a packaging design will receive regulatory approval or be accepted by a retailer, marketplace, barcode system, distributor or government authority.

14

Barcodes, Logos, Fonts and Third-Party Services

You are responsible for ensuring that you have the right to use any barcode, trademark, certification mark, logo, font, image or other third-party asset supplied by you.

Barcode generation, formatting or placement does not guarantee registration, ownership, uniqueness, product identification, database listing, acceptance by a retailer or compatibility with every scanning system.

Any barcode registration or verification service will be subject to the scope of that service and the applicable issuing organisation's requirements.

The Platform may rely on third-party infrastructure, AI services, hosting providers, payment processors, storage services and delivery partners. Their services may be governed by separate terms and privacy policies.

We are not responsible for the independent acts or omissions of third parties to the extent permitted by law. This does not exclude our own responsibilities for selecting, contracting with or managing service providers where applicable law imposes such duties.

15

Privacy and Data Protection

Your use of the Platform is also subject to our Privacy Policy, which explains how personal information is collected, used, stored, disclosed and protected.

We may process information necessary to create your account, save designs, generate artwork, fulfil orders, process payments, provide support, prevent fraud and meet legal obligations.

Where appropriate, we may use authorised service providers to process uploaded files and other information for the purpose of providing the Services.

You should not upload confidential, sensitive or personal information unless it is necessary for your project and you have a lawful basis to provide it.

We will handle personal data in accordance with applicable data protection law and our published Privacy Policy. Nothing in these Terms authorises unlawful processing or excludes rights that cannot lawfully be waived.

16

Confidentiality and Design Storage

We aim to protect customer projects through appropriate technical and organisational measures. However, no internet service or storage system can be guaranteed completely secure or continuously available.

You are responsible for maintaining the security of your account credentials and promptly notifying us of suspected unauthorised access.

Designs and files may be stored for the period described in our Privacy Policy or as reasonably necessary to provide the Services, maintain business records, resolve disputes and comply with legal obligations.

We recommend downloading important proofs and keeping independent copies of approved artwork and related business records.

We do not guarantee permanent storage of every draft or file unless a separate written service commitment expressly provides otherwise.

17

Availability, Maintenance and Technical Limitations

We strive to maintain reliable access to the Platform but do not guarantee uninterrupted or error-free operation.

The Platform may experience temporary downtime, maintenance, processing errors, browser compatibility issues, data synchronisation delays or failures involving third-party services.

AI generation may be subject to usage limits, processing times, content restrictions and service availability.

Where a material service failure affects a paid order, we will assess the issue and provide an appropriate remedy where required by the order terms or applicable law.

18

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform and its general information are provided on an “as available” basis.

We do not warrant that:

  • Every AI result will be accurate, unique or suitable for your purpose.
  • Every design will qualify for copyright or trademark protection.
  • Every file will be compatible with every printer or software system.
  • Every barcode will scan correctly on every device or retail system.
  • Every packaging design will satisfy the laws of every country.
  • The Platform will be continuously available without errors or interruptions.

Any product-specific warranties, service commitments or quality specifications expressly agreed in writing remain applicable.

Nothing in these Terms excludes an express warranty or statutory guarantee that cannot legally be excluded.

19

Limitation of Liability

To the maximum extent permitted by applicable law, Ekennis Software Service Limited, DIHZINE and their respective officers, employees and service providers will not be liable for indirect, incidental, special, punitive or consequential losses arising from the use of the Platform, including loss of anticipated profits, business opportunities, goodwill, sales or data.

This exclusion does not apply where such loss is not lawfully excludable.

Subject to the same legal limitations, our aggregate liability arising out of a particular paid order or Service will not exceed the amount paid to us for the specific affected order or Service giving rise to the claim.

For free Services, where permitted by law, our aggregate liability will be limited to the amount, if any, lawfully recoverable under applicable law.

The limitations in this section do not exclude or limit liability for fraud, wilful misconduct, gross negligence where such limitation is prohibited, death or personal injury where legally non-excludable, infringement of rights where liability cannot be limited, or any other liability that applicable law does not permit us to exclude or limit.

Nothing in this section restricts mandatory consumer rights or prevents a competent authority or court from granting a remedy available under applicable law.

20

Customer Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Ekennis Software Service Limited and DIHZINE from third-party claims, losses, damages, liabilities and reasonable legal costs arising directly from:

  • Your unlawful use of the Platform.
  • Your infringement of third-party intellectual property or other legal rights.
  • Materially false or misleading information supplied by you.
  • Your unauthorised use of a logo, trademark, image or other asset.
  • Your violation of these Terms or applicable law.

This obligation applies only to the extent that the claim results from your conduct or breach. It does not apply to the extent a claim is caused by our own breach, negligence, wilful misconduct or other conduct for which we are legally responsible.

We will provide reasonable notice of a claim for which indemnification is sought, where legally permissible, and will not settle a claim in a manner that imposes a non-monetary obligation on you without your consent, except as otherwise agreed.

21

Suspension and Termination

You may stop using the Platform at any time.

We may suspend or terminate access where reasonably necessary because of a material breach of these Terms, unlawful activity, suspected fraud, security threats, non-payment or a legal requirement.

Where appropriate and lawful, we will provide notice and a reasonable opportunity to address the issue.

Termination does not remove payment obligations already incurred or rights and remedies relating to an existing order. We will handle pending paid orders, refunds and customer data in accordance with applicable law, the relevant order terms and our Privacy Policy.

Sections concerning intellectual property, payment obligations, liability, indemnity, dispute resolution and other provisions intended by their nature to survive termination will continue to apply as legally appropriate.

22

Force Majeure

We will not be responsible for a delay or failure to perform to the extent it is caused by events beyond our reasonable control, including natural disasters, war, civil unrest, epidemics, government action, trade restrictions, supply-chain disruption, widespread network failures or transportation interruptions.

We will make reasonable efforts to mitigate the impact and resume performance when practicable.

If such an event materially affects an existing paid order, any cancellation, refund or other remedy will be handled according to the order terms and applicable law.

23

Governing Law and Dispute Resolution

These Terms are governed by the laws of India, subject to mandatory laws and consumer protections that apply in the customer's country or jurisdiction.

The parties will first attempt to resolve disputes through good-faith communication with our customer support or designated grievance contact.

Where a dispute cannot be resolved informally, it may be referred to the competent courts or other legally authorised dispute-resolution bodies having jurisdiction under applicable law.

Subject to mandatory jurisdictional rules, the courts of Bengaluru, Karnataka, India, are intended to have jurisdiction over disputes for which they are legally competent.

Nothing in this section deprives a consumer of the right to bring proceedings before a court, tribunal or authority where that right is guaranteed by applicable law. Any arbitration agreement, if used for a particular transaction, must be separately and validly agreed where required by law.

24

International Use and Mandatory Local Rights

The Platform may be accessible from multiple countries. This does not mean that every Service, packaging material, shipping option or regulatory support service is available in every country.

Customers are responsible for complying with applicable local requirements for the intended use of the packaging and the products sold in it.

Where local law grants you rights that cannot be waived or restricted by contract, those rights will continue to apply notwithstanding anything in these Terms.

If any provision is found invalid or unenforceable in a particular jurisdiction, it will be interpreted or limited to the minimum extent necessary, where legally permitted. The remaining provisions will continue to apply.

25

Changes to These Terms

We may update these Terms to reflect changes in our Services, business practices, legal obligations or security requirements.

The updated version will be published with a revised “Last Updated” date. Where applicable law requires advance notice or renewed consent, we will follow that requirement.

Changes will not retroactively remove rights that have already accrued under an existing order where doing so is prohibited by law.

Your continued use of the Platform after an updated version takes effect constitutes acceptance only to the extent such acceptance is legally effective.

26

Electronic Records and Communications

You agree that order confirmations, invoices, design approvals, notices and other communications may be provided electronically where permitted by law.

Electronic records and acceptance mechanisms may form part of a binding transaction in accordance with applicable law.

You are responsible for keeping your registered email address and contact details current and for reviewing communications concerning your orders.

27

Entire Agreement and Order-Specific Terms

These Terms, together with the Privacy Policy, applicable service descriptions, order confirmations, refund policy and any separately agreed written contract, govern your use of the Services.

If an order-specific written agreement expressly conflicts with these Terms, the order-specific agreement will prevail for that order to the extent of the conflict, unless doing so would violate applicable law.

A failure to enforce a provision on one occasion does not necessarily waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our consent, except where such restriction is prohibited by applicable law. We may assign or transfer our rights and obligations as part of a lawful corporate restructuring or business transfer, subject to applicable law.
